CURRENT CAMPAIGN OFFICIAL RULES

These Official Rules (the “Official Rules”) govern the promotional campaign currently offered on the NBA Top Shot platform (the “Current Campaign”). These rules may be modified, canceled, or postponed by Dapper Labs Inc. (the “Sponsor”) at any time in its sole discretion.

The name, description, start and end dates (the “Campaign Period”), available prediction and selection types, point values, and available prizes for the Current Campaign are set forth in the applicable campaign interface on the NBA Top Shot platform (the “Campaign Interface”) and, where indicated, in the Current Campaign Details above. These Official Rules apply to the Current Campaign and to each successive campaign offered on the platform, in each case as described in the applicable Campaign Interface.

ARBITRATION NOTICE:

THE GENERAL NBA TOP SHOT TERMS OF USE SET FORTH HERE (THE “GENERAL TERMS”) CONTAIN AN ARBITRATION PROVISION (SEE SECTION 16 OF THE GENERAL TERMS). PLEASE REVIEW THE ARBITRATION PROVISION CAREFULLY, SINCE IT AFFECTS YOUR RIGHTS. BY USING THE APP OR ANY PART OF IT, INCLUDING YOUR PARTICIPATION IN THE CURRENT CAMPAIGN, YOU UNDERSTAND AND AGREE TO BE BOUND BY THE ARBITRATION PROVISION IN THE GENERAL TERMS.

NO PURCHASE NECESSARY:

No purchase is necessary to participate in the Current Campaign. Participation does not require the purchase, ownership, locking, or burning of any NBA Top Shot Moments or any other digital collectibles. No payment of any kind is required to enter or play. Points earned through participation in the Current Campaign have no monetary value and are not redeemable for cash or any cash equivalent.

ELIGIBILITY:

The Current Campaign is open to NBA Top Shot users (defined as a user with an account at www.nbatopshot.com and a valid email address associated with that account) who are of the age of majority in the jurisdiction of their residence. Employees of the League Entities (defined as NBA Properties, Inc., the National Basketball Association (the “NBA”), NBA Media Ventures, LLC, the NBA member teams, WNBA Enterprises, LLC, the Women’s National Basketball Association (the “WNBA”), and the WNBA member teams (collectively, the “League Entities”)), and their respective parents, subsidiaries, affiliates, promotion and advertising agencies, and members of their immediate families (spouse and parent, children and siblings and their respective spouses, regardless of where they reside), and persons living in the same household, whether or not related, of such employees, are not eligible to win. Void where prohibited by law. The Current Campaign is subject to all applicable federal, provincial, state, and local laws. You can obtain an NBA Top Shot account for free by signing up at www.nbatopshot.com.

HOW TO PLAY:

All eligible NBA Top Shot collectors who participate in the Current Campaign will receive 100 points at the start of the Current Campaign at no cost. Points may only be gained through participation; participants can never lose points. Participants make predictions and selections throughout the Campaign Period, which may include, depending on the Current Campaign:

• Which team will win a given game or on a given night;

• Which team will score more points in a given game;

• Which team will win a given series or multi-game matchup (where applicable to the Current Campaign);

• Which of two players will score more points in a game;

• Which of two players will record more rebounds in a game;

• Which of two players will record more assists in a game;

• Which of two players will record more steals in a game;

• Which of two players will record more blocks in a game;

• Which of two players will make more three-point shots in a game;

• How many points an individual player will score in a game;

• How many rebounds an individual player will record in a game;

• How many assists an individual player will record in a game;

• How many steals an individual player will record in a game;

• How many blocks an individual player will record in a game;

• How many three-point shots an individual player will make in a game.

The specific prediction and selection types available for the Current Campaign are set forth in the Campaign Interface. The Current Campaign will feature a broad and diverse range of NBA players throughout the Campaign Period, including players from all participating teams. The Current Campaign is not limited to marquee players or superstars; Sponsor intends to feature no fewer than 50 players across the duration of the Current Campaign. All scoring and outcomes will be determined based on the results of the applicable live games and other events occurring during the Campaign Period, as determined solely by Sponsor.

POINTS:

Points awarded through the Current Campaign have no monetary value and cannot be redeemed for cash or any cash equivalent. Points are used solely as a measure of engagement within the NBA Top Shot platform during the Campaign Period. Participants may also accumulate points through other eligible activities on the NBA Top Shot platform; the Current Campaign is one component of a broader points-based engagement system. The specific point values assigned to each prediction type will be set forth in the Campaign Interface.

PRIZES:

Participants who accumulate sufficient points during the Current Campaign may be eligible to receive prizes as described in the rewards section of the Campaign Interface. Prizes are awarded “as is” with no warranty or guarantee, either express or implied. Winners may not substitute prizes, but Sponsor reserves the right, in its sole discretion, to substitute any element of any prize with another of comparable or greater value. Winners are responsible for all applicable federal, provincial, state, and local taxes, if any, as well as any other costs and expenses associated with accepting or using any prize. To the extent required by applicable law, winners may be required to provide certain information for regulatory or tax reporting purposes. Sponsor will not be required to award more prizes than the number of available prizes set forth in these Official Rules or the Campaign Interface.

WINNER NOTIFICATION:

Each potential prize winner will be notified through the user interface of the NBA Top Shot platform and/or by email. The inability to contact, or receive a response from, a potential winner may result in disqualification. The Released Parties (defined below) are not responsible for any delay or failure for a potential winner to receive notification from Sponsor, or for Sponsor to fail to receive a potential winner’s response, for any reason, including inactive accounts, technical difficulties, or a potential winner’s failure to adequately monitor their account. The Released Parties are not responsible for communications that are undeliverable as a result of any form of filtering, or for insufficient space in an entrant’s email account to receive messages.

GENERAL CONDITIONS – LIMITATION OF LIABILITY:

By participating in the Current Campaign, each participant agrees: (a) to abide by these Official Rules, the NBA Top Shot Terms of Use, the Dapper Service Terms of Use, and the decisions of Sponsor, which shall be final and binding in all respects relating to the Current Campaign; (b) that failure to meet any of the conditions contained herein or in the NBA Top Shot Terms of Use or Dapper Service Terms of Use may result in disqualification, at the sole discretion of the Sponsor; (c) to release, discharge, and hold harmless Sponsor, the League Entities, and the National Basketball Players Association and the Women’s National Basketball Players Association (the “WNBPA”), collectively with their subsidiaries and each of their respective officers, members, directors, and employees (the “Players Association Entities”), and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents, and representatives of the foregoing (collectively, “Released Parties”) from any and all injuries, liability, losses, and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from participant’s participation in the Current Campaign or any Current Campaign-related activity or the acceptance, possession, use, or misuse of any awarded prize; and (d) to the use of his/her name, voice, performance, photograph/video, image, and likeness for programming, advertising, publicity, and promotional purposes in any and all media (including digital media), now or hereafter known, worldwide and in perpetuity by Sponsor, the League Entities, the Players Association Entities, and their designees, without compensation (unless prohibited by law) or additional consents from participant or any third party and without prior notice, approval, or inspection, and to execute specific consent to such use if asked to do so. By participating, participants also agree not to release any publicity or other materials on their own or through someone else regarding their participation in the Current Campaign without the prior consent of the Sponsor, which it may withhold in its sole discretion.

PUBLICITY RIGHTS:

Participants in the Current Campaign agree that Sponsor, the League Entities, the Players Association Entities and their designees and assigns have the perpetual right to use his/her/their name, voice, performance, photograph/video, image, and likeness for programming, advertising, publicity, and promotional purposes in any and all media (including digital media), now or hereafter known, worldwide and in perpetuity, without compensation (unless prohibited by law) or additional consents from participant or any third party and without prior notice, approval, or inspection.

MISCELLANEOUS:

The Released Parties are not responsible for lost, interrupted, or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility, or miscommunications or failed computer, satellite, telephone, or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures, or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing, or otherwise relating to or in connection with the Current Campaign, including, without limitation, errors or difficulties which may occur in connection with the administration of the Current Campaign, the processing or judging of predictions, the selection of winners, or the announcement of any prize. The Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by other participants, tampering, hacking, or by any equipment or programming associated with or utilized in the Current Campaign. Persons who tamper with or abuse any aspect of the Current Campaign or the NBA Top Shot website (including through the use of automated bots or artificial intelligence tools created or utilized for the purposes of entering the Current Campaign), who act in an unsportsmanlike or disruptive manner, or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified. Should any portion of the Current Campaign be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, unauthorized human intervention, or other causes which, in the sole opinion of Sponsor, corrupt or impair the administration, security, fairness, or proper conduct of the Current Campaign, Sponsor reserves the right in its sole discretion to suspend, modify, or terminate the Current Campaign and, if terminated, at its discretion, to select potential winner(s) from all eligible participants in accordance with the procedures outlined herein. CAUTION: ANY ATTEMPT TO DAMAGE THE NBA TOP SHOT SITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE CURRENT CAMPAIGN MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
